- Introduction and acceptance of Terms
- Please find below the terms of use (the “Terms”) for www.struck.build (the “Website").
- The Website is operated by STRUCK.build B.V. (“STRUCK”), a private company with limited liability, registered with the Chamber of Commerce in Amsterdam, the Netherlands under number 92270271.
- You agree to be bound by these Terms by using the Website and /or entering into an Agreement (as defined below) and as such you become a “User”.
- By using the Website, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree with these Terms, please refrain from using the Website.
- Description of services
- The Website provides access to regulations on architecture, engineering and construction in the European Union through a chatbot.
- Please note that the services offered through the Website are currently in beta and may undergo changes or improvements.
- User Obligations
- By using the Website, you agree to:
- provide accurate and complete information;
- use the services in compliance with applicable laws and regulations; and
- refrain from engaging in any unlawful or unauthorized activities.
- Intellectual Property Rights
- A User does not become the owner of any intellectual property rights relating to the Website and the services offered, including but not limited to content, graphics, trademarks, and software.
- Prices and payment
- By entering into an agreement with STRUCK for the use of the Website and the services (the “Agreement”), a User shall pay the applicable fees as mentioned in the Agreement.
- Fees can be paid by credit card when entering into an Agreement through the Website.
- Upon request, STRUCK provides an invoice for the fees, which invoice shall be paid within [15] days. In case the invoice is not paid within the [15] days, STRUCK reserves the right to limit the Users access to the Website and the services.
- Please note that future pricing for the services offered on the Website may be subject to change. STRUCK reserves the right to modify the pricing structure and fees at its discretion.
- Term and termination
- The Agreement is entered into for the term mentioned therein and shall automatically renew for one-year periods.
- Either party of the Agreement may terminate this agreement with immediate effect, in the event
- with respect to the other party, an application was made for the bankruptcy (faillissement), a moratorium of payments (surseance van betaling) or a similar relief or measure;
- the other party has made a proposal for a creditors’ arrangement (schuldeisersakkoord), or any similar measure; or
- one or more assets of the other party have been seized (beslagen) and such attachment (beslag) shall not have been lifted within 30 calendar days.
- In addition, either party may terminate the Agreement for convenience by providing one month's notice.
- STRUCK does not provide refunds for fees already paid upon termination and shall not be liable for any damages as a result of termination of the Agreement by a User.
- Limitation of Liability
- STRUCK provides the User access to the infrastructure of the Website and the services offered. The User shall be solely responsible for the use of the Website and the services offered and the application of the information generated by the use of the Website, including but not limited to the prompts given and the decisions how to apply the information given.
- STRUCK shall not be liable for any damages or losses arising from the use of the Website. The services are provided "as is" and STRUCK disclaims all warranties, express or implied.
- In the event of a force majeure situation (overmacht), within the meaning of article 6:75 of the Dutch Civil Code (Burgerlijk Wetboek), STRUCK has the right to suspend their obligations from the Agreement with a User or to terminate the Agreement with immediate effect, without being liable for compensation. This is mutual, so [the User can also suspend their obligations or terminate the Agreement in the event of force majeure. Both Parties will do their best to resolve the force majeure situation as quickly as possible. **

- Entire Agreement: These Terms constitute the entire agreement between you and STRUCK regarding the use of the Website.

- Severability: If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.
- No Third-Party Rights: These Terms do not confer any rights or benefits to any third parties.
- Governing Law and Jurisdiction
- These Terms shall be governed by and construed in accordance with the laws of the Netherlands.
- Any disputes arising out of or in connection with these Terms shall be exclusively subject to the jurisdiction of the courts in Amsterdam.
